Terms of Service
Terms of Service 1. Term and Automatic Renewal 1.1 Agreement Duration: This Agreement begins on the Effective Date and continues on a month-to-month basis until terminated by either party. 1.2 Automatic Renewal: To ensure uninterrupted service, your subscription will automatically renew for successive one-month periods unless notice of termination is provided. 2. How to Cancel 2.1 Cancellation Notice: You may cancel your subscription at any time. To avoid being charged for the next billing cycle, you must provide written notice of cancellation at least [e.g., 5-7] days prior to your next renewal date. 2.2 Final Billing: Upon cancellation, services will continue through the end of your current paid billing period. No prorated refunds are provided for partial months of service. 2.3 Software Removal: Upon the effective date of cancellation, the Provider’s agent software will be deactivated, and the Cyber Security Scope (Section 3.2) will cease immediately. 3. Scope of Services 3.1 Covered Devices: Services are strictly limited to devices listed in your Device Inventory (Exhibit A) or those equipped with the Provider’s agent software, up to the maximum count in your subscription tier. 3.2 Cyber Security Support: Support is specifically provided for issues directly related to the deployment, functioning, and protection features of the Cyber Protect software. 4. Termination for Cause 4.1 Material Breach: Either party may terminate this Agreement with 10 days’ written notice if the other party materially breaches any provision of this Agreement and fails to resolve the breach within that 10-day period. 5. Limitation of Liability 5.1 General Limitation: In no event shall the Provider be liable for any indirect, special, incidental, punitive, or consequential damages (including loss of profits or business interruption) related to this Agreement.
